1. Who we are

"Apeirion Labs" is the trading name of Roberto Esposito, operating as an entreprise individuelle (EI / micro-entrepreneur) under French law, registered under SIREN 107392805, based in Lyon, France.[1]

Throughout these Terms, "we", "us", "our" refers to Apeirion Labs; "you" refers to the person or entity purchasing or using our products.

2. What we sell

We sell digital products (software tools, extensions, guides, and research reports).

  • One-time purchases (current offering). Today, every product is a one-time purchase. We do not currently sell subscriptions, physical goods, or services.
  • Subscriptions (planned). We plan to offer recurring micro-SaaS subscriptions. The clause below governs those subscriptions and takes effect only once a product is expressly offered on a subscription basis; until then it does not apply.

Each product's specific license terms (for example, an MIT license for a code deliverable) are stated on that product's listing page; where a listing does not specify otherwise, the license described in §5 below applies.

2.1 Subscriptions (recurring products) — applies once subscriptions are offered

Where a product is offered on a subscription basis, the following apply, in addition to the rest of these Terms:

  • Renewal and price. The subscription price, the billing frequency, and the renewal terms are stated on the product's page and at checkout before you subscribe.[3] Unless stated otherwise, subscriptions renew automatically at the end of each billing period until cancelled.
  • How your subscription is billed. Recurring payments are collected by Paddle as Merchant of Record (see §3). Paddle runs the renewal charge, handles failed-payment retries, and calculates any mid-cycle proration.[4]
  • Cancellation ("résiliation en trois clics"). You can cancel at any time, online, through a free and easily accessible function, without having to contact us. On cancellation, your subscription remains active until the end of the current paid billing period and is not renewed thereafter; we confirm the cancellation and end date on a durable medium.[5]
  • Renewal information. Where French law requires us to remind you, before renewal, of your ability not to renew a tacitly-renewed contract, we (or Paddle on our behalf) will send that reminder within the statutory window.[6] Paddle only sends auto-renewal reminders where legally required and only for subscriptions of six months or longer; for shorter (e.g. monthly) subscriptions we are responsible for any required reminder ourselves.[7]
  • Your statutory rights are unaffected. The withdrawal-right rules in §7 and the legal guarantee of conformity in §9 apply to subscriptions as they do to one-time purchases.

3. Paddle as Merchant of Record — how your purchase is billed

All purchases on this site are sold through Paddle.com Market Ltd (or the relevant Paddle group entity for your region), acting as Merchant of Record (MoR) and authorised reseller of our products.[8] This means:

  • Paddle, not Apeirion Labs, is the seller of record on your invoice and receipt. You purchase the product from Paddle, which is the contracting party for the sale itself, collects payment, calculates and remits applicable VAT/sales tax, issues your invoice, and is responsible for payment processing, fraud prevention, and chargeback handling.[9]
  • Apeirion Labs is the supplier/publisher of the product — we create it, describe it, and are responsible for its content, quality, and delivery — but we do not process your payment or hold your card details.[10]
  • Your purchase is also subject to Paddle's own Buyer Terms and Privacy Policy (available at paddle.com), which apply in addition to these Terms.[11] Where the two conflict on billing, tax, or payment matters, Paddle's terms govern; on product content, license, and delivery matters, these Terms govern.

4. Pricing, currency, and tax

Prices are set by Apeirion Labs and displayed per product. Paddle localizes the displayed price to your currency and calculates any VAT/sales tax applicable to your location; the final tax-inclusive amount is shown to you before you confirm payment at checkout. Because Paddle is the Merchant of Record, tax compliance for your purchase is Paddle's responsibility, not ours.[12]

French consumers are entitled to see a total price, all taxes included ("TTC"), expressed in euros, before purchase.[13] Where a price shown on our own pages is a base figure to which local tax is added by Paddle at checkout, we label it as such.

5. License grant

Unless a product's own listing page states different terms, purchasing a product grants you a non-exclusive, non-transferable license to use it for your own personal or internal business purposes. You may not resell, sublicense, or redistribute the product itself (as opposed to work you create using it) without our prior written consent. Where a product's listing explicitly grants a permissive license (e.g., "MIT License"), that listing's terms control for that product and take precedence over this default clause.

6. Delivery

Digital products are delivered electronically — typically an immediate download or license key made available upon payment confirmation. There is no physical shipment.

7. Your right of withdrawal (EU consumers) and its waiver for digital content

If you are a consumer located in the European Union (or another jurisdiction with an equivalent statutory right), you ordinarily have a 14-day right to withdraw from a distance purchase without giving a reason.[14]

For digital content supplied without a tangible medium (such as our downloads and license keys), this right does not apply once performance has begun, provided you have given your prior express consent to that immediate performance and have acknowledged that you thereby lose your right of withdrawal. This is the digital-content exception under Article 16(m) of Directive 2011/83/EU (the EU Consumer Rights Directive), implemented in French law at Article L221-28, 13° of the Code de la consommation.[15]

For that waiver to be valid, French law requires three cumulative conditions: prior express consent to immediate performance, an express acknowledgment that the right is thereby lost, and confirmation of both on a durable medium.[15]

Who collects it. Because Paddle is the merchant of record (§3), the contract of sale is concluded between you and Paddle, and it is Paddle's checkout that collects this consent and issues the order confirmation. Paddle's Buyer Terms provide that by downloading or otherwise acquiring the product you consent to immediate performance and acknowledge losing the right of withdrawal, and Paddle's Refund Policy states that the right to withdraw does not apply to digital content that has started to be downloaded, streamed or otherwise used where you have given express consent to waive it.[11] Our licence to you (§5) is a separate contract from that sale.

If the waiver was not validly collected on a given purchase, it does not apply. We do not rely on a waiver we cannot evidence: in that case the ordinary 14-day right stands and runs from conclusion of the contract, and you may exercise it via Paddle or by contacting support@apeirionlabs.com, which we will forward. Refunds for such a purchase are processed by Paddle, by the original payment method, within 14 days of approval.

"I request immediate access to / download of this digital content before the end of the 14-day withdrawal period, and I acknowledge that I thereby lose my right of withdrawal once the content has been supplied."

This clause affects only the withdrawal right. It does not affect your legal guarantee of conformity (§9) or any voluntary refund policy we choose to offer — see our separate Refund Policy.

Online withdrawal function (from 19 June 2026). Article L221-21 of the Code de la consommation, as amended by Ordonnance n°2026-2, requires traders concluding distance contracts through an online interface to provide a free, clearly identifiable withdrawal function with easy, direct and permanent access. That obligation does not apply to a contract for digital content supplied without a tangible medium where performance has begun with the consumer's prior express consent and acknowledged waiver — that is, to purchases made under the waiver above. Where a purchase is not covered by that waiver (for example a subscription you have not consented to begin immediately, or where the waiver was not validly collected), the 14-day right applies normally and you may exercise it by contacting support@apeirionlabs.com; we will send you an acknowledgment of receipt on a durable medium without delay.

8. Acceptable use

You agree not to: circumvent or attempt to circumvent any license restriction stated on a product's listing; use a product to build a directly competing product for resale using our original content verbatim; misrepresent your identity to obtain a refund fraudulently; or use the products for any unlawful purpose. Your purchase is also subject to Paddle's Acceptable Use Policy as part of Paddle's Buyer Terms.[11]

9. Legal guarantee of conformity, disclaimers, and limitation of liability

Le consommateur bénéficie de la garantie légale de conformité prévue aux articles L. 224-25-12 et suivants du code de la consommation.

En cas de fourniture ponctuelle : le professionnel répond des défauts de conformité existant au moment de la fourniture et qui apparaissent dans un délai de deux ans à compter de celle-ci. Pendant la première année, le consommateur n'a pas à prouver la date d'apparition du défaut : il lui suffit d'établir que le défaut existe.

En cas de fourniture continue (abonnement) : le professionnel répond des défauts de conformité qui apparaissent pendant toute la durée de la fourniture prévue au contrat, et fournit les mises à jour nécessaires au maintien de la conformité du contenu ou du service numérique pendant cette même durée.

En cas de défaut de conformité, le consommateur a droit à la mise en conformité du contenu ou du service numérique, sans retard injustifié suivant sa demande, sans frais et sans inconvénient majeur pour lui. À défaut, il peut obtenir une réduction du prix ou la résolution du contrat, notamment si la mise en conformité est impossible, refusée, tardive, mettrait des frais à sa charge, lui causerait un inconvénient majeur, ou si le défaut persiste malgré une tentative de mise en conformité. La résolution n'est pas ouverte pour un défaut mineur lorsque le contrat prévoit le paiement d'un prix.

Ces droits sont d'ordre public. Ils sont indépendants du droit de rétractation et de sa renonciation (§7) ainsi que de toute politique commerciale de remboursement. Tout professionnel qui fait obstacle à leur mise en œuvre encourt une amende civile pouvant atteindre 300 000 €, susceptible d'être portée à 10 % du chiffre d'affaires annuel moyen.

English summary (the French text above governs): you have a legal guarantee of conformity — two years from supply for one-off downloads, and for the whole subscription period (including necessary updates) for continuous supply. Remedies are repair/bringing into conformity without undue delay or cost, then price reduction or termination. These rights are mandatory and independent of §7 and of our Refund Policy.

Legal guarantee (non-waivable). As a consumer, you benefit from the legal guarantee of conformity for digital content and digital services under Articles L224-25-1 et seq. of the Code de la consommation (transposing Directive (EU) 2019/770). If a product is not in conformity — for example, it does not work as described or lacks the qualities you can legitimately expect — you are entitled to have it brought into conformity and, failing that, to a price reduction or to termination of the contract with a refund.[17] These rights are mandatory (d'ordre public): they exist independently of, and are not limited or excluded by, this clause, our Refund Policy, or the waiver in §7.[18]

Disclaimers. Subject to the mandatory rights above, products are provided "as is" and "as available." To the maximum extent permitted by applicable law, Apeirion Labs disclaims all warranties not expressly stated on a product's listing page or required by law.

Limitation of liability. Nothing in these Terms limits liability that cannot be limited under applicable law (including statutory consumer-protection rights that cannot be waived). Where liability may lawfully be limited, our total liability for any claim relating to a purchase is limited to the amount you paid for that product.

10. Complaints, consumer mediation, and disputes

Contact us first. If you have a complaint, email support@apeirionlabs.com and we will try to resolve it directly.

Billing, payment, and refund disputes. Your purchase contract is with Paddle as merchant of record (our online reseller): disputes about a charge, a refund, or the checkout itself are handled first by Paddle's buyer support (paddle.net), without prejudice to your statutory rights.

Consumer mediation (product and license disputes with us). If we cannot resolve your complaint, French law gives consumers the right to refer certain disputes, free of charge, to a consumer mediator.[19] We have designated CM2C — Centre de la Médiation de la Consommation de Conciliateurs de Justice (Association Loi 1901 agréée par la CECMC, N° W751237320), 49 rue de Ponthieu, 75008 Paris, France — tél. 01 89 47 00 14 — www.cm2c.net. Referral is free of charge for the consumer and does not remove your right to bring court proceedings. Our adhesion runs to 25/07/2029. The same details appear in our Legal Notice.

Earlier drafts pointed consumers to the European Commission's Online Dispute Resolution platform. That platform was discontinued on 20 July 2025 (Regulation (EU) 2024/3228) and the obligation to link to it no longer exists; the reference has therefore been removed.[20]

Governing law. These Terms are governed by French law. If you are a consumer resident in the EU, nothing in this clause deprives you of the protection of any mandatory consumer-protection provisions of the law of your country of habitual residence, consistent with Article 6 of Regulation (EC) No 593/2008 (Rome I).[21] For any dispute not resolved amicably or through mediation, and subject to the foregoing, the courts of Lyon, France have jurisdiction.

11. Language

Our storefront and products are presented in English. As a French-established trader, where we direct our offer to French consumers we make the key consumer and legal information available in French.[22]

12. Changes to these Terms

We may update these Terms from time to time. The version in effect at the time of your purchase applies to that purchase. Material changes will be reflected by an updated "Last updated" date on this page.
